Bylaws Revision

The PTSO is in the process of revising its bylaws so that the bylaws better reflect the actual practices of the PTSO and to make them more understandable by parent volunteersPTO Today has a good article about bylaws and the key point is this:

"Generally, bylaws cover the broadest of guidelines for your group.... Policies, on the other hand, are more detailed and more specific to your PTO. For example, your bylaws might require your group to hold a general meeting at least three times a year; your policies might state that general meetings are held on the first Thursday of the month beginning at 7 p.m."

Part of revising the bylaws was filing a Restated Articles of Incorporation form with the State of Michigan.  The more legal aspects of the bylaws were moved to these restated Articles of Incorporation.

Summary of Changes
  • Article 1 : Made mission/purpose of PTSO more generic.  Bylaws don't need to contain mission statements.  The PTSO can document a more detailed mission statement elsewhere and change it as often as it likes.
  • Article 10, Board of Directors.  Removed this article.  Instead of having two levels of governance (Executive Board and Board of Directors), the proposed Bylaws has only one level (Executive Board).
  • Article 13:  Grants, Fundraising, and Financial Matters.  This article is divided into three in the proposed bylaws.
  • Article 13:  Indemnification moved to Restated Articles of Incoporation.
  • Grants : Mini grant amount increased to $1000.  Maxi grant amount increased to $3000.
  • Field Trip Funds : Wording changed to reflect actual practices.
  • Removed:
    • Roberts Rules of Order (Article 5.6)
    • Nominating Committee (Article 7.4)
    • Joint Meeting (Article 7.6)
    • Board of Directors (Article 10)
    • Tappan Players revenue (Article 12.5)
